Terms of Service

These Terms of Service (“Terms”) govern your use of Uniqus Exchange (the “Service”), operated by Uniqus Consultech Inc. (“Uniqus”). By accepting your invite and signing in, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility

Uniqus Exchange is invite-only. To be eligible you must be at least 18, hold a finance-leadership role in a private or public company, and be invited directly or through a vouching member. Uniqus may verify your identity and revoke access if verification fails.

2. Anonymous handles and Chatham House rule

Each Circle uses anonymous handles so members can speak candidly. You agree:

  • Not to reveal the identity of any other member outside the Service.
  • Not to attribute a specific view to a specific handle when discussing a thread externally.
  • Not to attempt to de-anonymize another member (e.g. by social-graph cross-reference).

Violations may result in immediate suspension. Chatham House rule is a norm we enforce as a Service policy, not just an aspiration.

3. Your content

You retain ownership of the threads, replies, questions, attachments, and pulse answers you post. By posting, you grant Uniqus a worldwide, non-exclusive, royalty-free license to host, display, moderate, and distribute your content within the Service to other Circle members and to Partners. We do not use your content to train third-party AI models.

Uniqus Signal — our AI moderation and synthesis layer — may process your content to generate neutral synthesis notes, detect policy violations, or draft responses for partner review. All agent-generated content is reviewed by a human Partner before reaching other members.

4. Prohibited content and conduct

You agree not to:

  • Share specific confidential information about companies (your own or others’) that you are contractually or legally bound to protect.
  • Post material non-public information or anything that would constitute unlawful tipping.
  • Solicit legal, tax, audit, or investment advice that you will rely upon without independent verification.
  • Harass, threaten, defame, or discriminate against other members.
  • Upload malware, automate scraping, or circumvent rate limits.
  • Use the Service to market products or services outside Uniqus without prior written consent.

5. Moderation

Partners may remove content, suspend access, or terminate your account for violations of these Terms or for conduct inconsistent with the Service’s trust norms. We do not guarantee advance notice. You may appeal a suspension by writing to support@uniqusexchange.com.

6. Not professional advice

Content posted by members, Partners, or the Uniqus Signal agent layer is not legal, tax, audit, or investment advice. The Uniqus Desk responses and agent-drafted notes are peer-shared or AI-drafted context, not an engagement deliverable. Engage Uniqus Consultech or a qualified independent advisor before acting on anything you see here.

7. Accounts and security

You are responsible for activity on your account. Notify us immediately at security@uniqusexchange.com if you believe it has been compromised. Magic-link sign-ins expire quickly for security; do not share your links.

8. Termination

You may delete your account at any time from /me. Uniqus may terminate or suspend accounts for violation of these Terms, prolonged inactivity, or business reasons, with reasonable notice where practical. Sections that should by their nature survive (intellectual property, disclaimers, limitations of liability, governing law) will survive termination.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIQUS DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. UNIQUS’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state and federal courts located in Delaware, and you consent to their jurisdiction.

11. Changes

We may update these Terms. We will notify members by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.
